1. Parties to the Agreement

These Terms and Conditions ("Terms") constitute a legal agreement between you ("User") and Mio Labs LLC, a limited liability company incorporated in Wyoming, USA ("Mio Labs", "we", or "the Company"), regarding your use of the BazarMio mobile application ("the App").

• By downloading, installing, or using the App, you agree to be bound by these Terms. If you do not agree, do not use the App.

2. Description of Service

BazarMio is an inventory and sales management application designed for informal vendors, corner stores, and small businesses. The App operates primarily on your device (offline-first) and will offer cloud synchronization in future versions.

3. User Accounts

The App currently operates with local storage on your device. In future versions, we may offer SMS authentication and cloud synchronization. You are responsible for maintaining the security of your device and the information stored on it.

5. Acceptable Use

You agree not to:

• Use the App for illegal or fraudulent activities
• Attempt unauthorized access to systems related to the App
• Resell, sublicense, or distribute the App without written permission
• Reverse-engineer the App's code
• Upload malicious, defamatory, or third-party rights-infringing content

6. Intellectual Property

The App, including its code, design, BazarMio brand, and all associated intellectual property, is the exclusive property of Mio Labs LLC. Nothing in these Terms transfers ownership rights over the App to you.

• The data you enter into the App (product names, prices, sales, etc.) is yours. Mio Labs claims no ownership rights over your content.

7. Limitation of Liability

To the maximum extent permitted by law, Mio Labs LLC shall not be liable for:

• Data loss due to device failure
• Business losses from sales or inventory recording errors
• Service interruptions due to maintenance or technical causes
• Indirect, incidental, special, or consequential damages
• Mio Labs' total liability to you will not exceed the amount you paid to Mio Labs in the 12 months prior to the event giving rise to the claim.

8. Data and Privacy

The processing of your personal data is governed by our Privacy Policy, available in the App and on our website. The Privacy Policy is an integral part of these Terms.

9. Modifications

We reserve the right to modify these Terms at any time. Modifications take effect 30 days after in-app notification. Continued use of the App after that period constitutes your acceptance of the new Terms.

10. Termination

You may stop using the App at any time. Mio Labs may suspend or terminate your access if you violate these Terms. Upon termination, your license to use the App ceases immediately. Data stored locally on your device will remain there until you delete it.

11. Governing Law and Dispute Resolution

These Terms are governed by the laws of the State of Wyoming, United States, without regard to conflict of law principles. For users in Ecuador, applicable local consumer protection provisions shall also apply to the extent required by law.

• Any dispute will first be resolved through good-faith negotiation (30 days). If unresolved, the parties may submit to binding arbitration under American Arbitration Association rules.

12. General Provisions

If any provision of these Terms is declared invalid, the remaining provisions will remain in effect.

• Occasional failure to enforce these Terms does not constitute a waiver of Mio Labs' rights.
• These Terms constitute the entire agreement between you and Mio Labs regarding the App.
